Version: 2026-10-12. Effective date: 2026-10-12.
These terms govern your use of the hosted H2O-Lightning API gateway operated by H2O.ai, Inc.. By obtaining an API key or sending requests, you agree to these terms. If you use the API for an organization, you confirm that you can bind that organization to them.
The API offers an OpenAI-compatible interface to the H2O-Lightning decision models, including the decisions endpoints (/v1/decisions and /v1/systemone) and a chat completions endpoint. We may add, change, or retire models, endpoints, and features. We will try to give reasonable notice before retiring an endpoint you rely on.
You are responsible for keeping your API keys secret and for all activity carried out with them. Tell us promptly at legal@h2o.ai if you believe a key has been compromised. Each key is subject to rate limits and other usage limits that we set and may adjust. Do not try to get around those limits, for example by spreading traffic across keys you are not entitled to use.
You keep all rights in what you send to the API and in the outputs it returns to you. We claim no ownership of either. You give us only the permission needed to process each request long enough to return a response. We do not retain your request content or outputs and we do not use them for training; we keep traffic metadata about requests as our Privacy Policy and Data Policy describe, and those policies form part of these terms. You are responsible for having the right to send the content you submit, including any personal data, and for meeting any notice or consent duties that apply to it.
You may not use the API to break the law, to infringe anyone's rights, to create or spread malware, to harass or harm people, or to deceive people in ways that cause harm. You may not attack, probe, or overload the service, attempt to access systems or data you are not authorized to reach, or resell access to the API without our written agreement. Security testing of the service requires our prior written approval.
Model outputs can be wrong. Do not rely on them as the only basis for decisions with legal, medical, financial, safety, or similarly significant effects on people without appropriate human review.
You may stop using the API at any time. We may suspend or revoke a key, or end your access, if you breach these terms, if your use puts the service or others at risk, or if the law requires it. Where practical we will tell you why. We may also discontinue the service with at least 30 days' notice. Sections that by their nature should survive termination, including disclaimers, limitation of liability, and governing law, will continue to apply.
[Pricing and payment terms, if any, to be completed by H2O.ai legal and finance. Metered billing uses the traffic metadata described in the Data Policy.]
The API and its outputs are provided as available and without warranties of any kind, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the fullest extent the law allows. We do not promise that the service will be uninterrupted or error-free.
To the fullest extent the law allows, H2O.ai will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the API. Our total liability for any claim relating to the API is limited to the greater of the amount you paid us for the API in the 12 months before the claim arose or US$100. Some jurisdictions do not allow certain of these limits, so they may not all apply to you.
You agree to defend, indemnify and hold harmless H2O.ai, Inc. and its officers, directors, employees and affiliates from and against any claims, losses, liabilities and expenses, including reasonable attorneys' fees, arising from your use of the API, the content you submit, or your breach of these terms.
These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The state and federal courts located in Santa Clara County, California have exclusive jurisdiction over any dispute arising from these terms or the API.
We will publish changes as a new version with a new effective date and, for material changes, give notice of at least 30 days before they take effect. Continuing to use the API after that date means you accept the updated terms.
These terms, together with the Privacy Policy and Data Policy, are the whole agreement between you and H2O.ai about the API, unless you have signed a separate agreement with us, which then controls where it conflicts. If any part of these terms is found unenforceable, the rest stays in effect. A failure to enforce a provision is not a waiver of it.
